Definitions

• “Affiliate” means a corporation controlling, controlled by, or under common control with an entity.

• “Ad Account” means the Customer’s or Lead U Need’s advertising account on applicable ad platforms.

• “Ad Network” means advertisement platforms such as Facebook, Google, Instagram, etc., for which the Services are used.

• “Ad Spend” refers to the total amount spent on all Ad Accounts by a Customer, whether fully utilized or not.

• “Platform” refers to the Company’s proprietary system for lead generation, ad campaign management, and marketing optimization, including all upgrades and tools provided therein.

• “Intellectual Property Rights” covers all patent, copyright, trade secret, trademark, and related rights for technology, know-how, documentation, systems, content, or inventions created or owned.

• “Service” refers to the web and mobile tools and support provided on a Software-as-a-Service (SaaS) basis for ad campaign and lead generation management, including customer service and technical assistance.

License; Use of Service

The Service is offered as a SaaS platform to assist in planning, managing, optimizing, and executing lead generation and ad campaigns. Results may vary due to many factors, including customer strategy and ad network changes. Lead U Need does not guarantee specific results or returns.

The Company may update, modify, or remove features at any time and is not responsible for third-party service interruptions or policy changes. Customers are responsible for ensuring their own internet connectivity, software, and hardware compatibility.

Use of the Service is restricted to lead generation and marketing purposes only. Any unauthorized reproduction, resale, transfer, or manipulation of the Platform is strictly prohibited.

Subject to payment of applicable fees, the Company grants a non-exclusive, non-transferable, revocable license to access the Platform during the subscription term.

Prohibited Activities include, but are not limited to:

• Illegal or offensive content

• Copyright infringement

• Spam or malicious content

• Violation of any Ad Network’s policies

• Misuse or tampering with the Platform or Services

Registration

To access the Platform, Customers must register using their phone number and link relevant Ad Accounts. Credentials must remain confidential and be used solely by the registered Customer.

Customers may not reverse engineer, copy, distribute, sublicense, or tamper with the Platform or its features, except as permitted by these Terms or in writing by the Company.

Intellectual Property

All rights to the Platform, Services, and any underlying technology or content belong exclusively to Lead U Need. This agreement does not transfer ownership.

Customer-created content remains the property of the Customer. However, any feedback provided becomes the intellectual property of Lead U Need.

All third-party IP (e.g., Google or Meta’s trademarks) remains the property of their respective owners.

Third-Party Services

The Platform may utilize third-party services or link to third-party websites. These are governed by their own terms. Lead U Need is not liable for any issues arising from use of third-party services or content.

Fees and Payment Terms

Fees are based on the Customer’s Ad Spend and may include surcharges if Ad Spend exceeds the agreed threshold. All charges are outlined in the Order Form.

Invoices are generated for each ad order or campaign published.

Company Representations

Lead U Need represents that:

• It has the legal right to operate under these Terms

• It owns or licenses all technologies and content used in the Service

Customer Representations

Customer agrees and confirms:

• They are authorized to enter into this agreement

• They will comply with all applicable laws and Ad Network policies

• They will not infringe on any third-party rights or misuse the Service

Confidentiality

All non-public information provided by the Company is confidential. Customers must not disclose this information without legal obligation, and must notify Lead U Need in such cases.

Warranty Disclaimer and Limitations

The Service is provided “as-is” without any warranties. The Company does not guarantee uninterrupted or error-free Service.

Lead U Need shall not be liable for:

• Third-party failures (e.g., Google Ads, Meta Ads)

• Indirect or consequential damages

• Any claim exceeding the total fees paid by the Customer

Term and Termination

Lead U Need reserves the right to:

• Close Ad Accounts at its discretion

• Terminate access if Terms are violated

• Suspend accounts for Ad Network violations or legal issues

Upon termination:

• Access is revoked

• No refunds will be issued

• All unpaid dues must be cleared

If terminated without breach, a pro-rata refund may be issued at the Company’s discretion.

Data Collection & Usage

Lead U Need collects data related to platform usage (not personal information unless explicitly submitted by Customer). Such data may be used for:

• System improvements

• Usage monitoring

• Fee calculations

Data may be transferred internationally and stored according to company policy. Customers must ensure legal compliance if uploading any personal data.

General Provisions

• Amendments: These Terms may change at any time with a 7-day notice via Website or Platform.

• Waiver: No right or clause shall be waived unless in writing.

• Severability: Invalid clauses shall be adjusted or removed without affecting the remaining Terms.

• Notices: All communication must go through the contact form on the official website.

• Governing Law: These Terms are governed by the laws of the State of Uttar Pradesh. The courts of Lucknow shall have exclusive jurisdiction.

• Assignment: Customers may not assign rights or access without prior written consent from the Company.
